1. General Terms These Terms and Conditions, along with the Privacy Policy and other applicable policies, govern the relationship between the user ("You", "Your", "User") and Parasana Fintrade Private Limited ("SUMPay", "We", "Us", "Our"). These terms ("Terms") are drafted in accordance with the Information Technology (Intermediaries Guidelines) Rules, 2011, under the Information Technology Act, 2000, to regulate the use of and access to the Platform (as defined below) and the Services (as defined below).

By agreeing to these Terms, You enter into a legally binding agreement with SUMPay. No physical or digital signature is required to validate this agreement. These Terms govern Your use of our website www.sumpays.in ("Website") and SUMPay mobile application ("Application"), both of which are owned, managed, and controlled by SUMPay. Our registered office is located at Shreeji Bungalow, 11, Vardhman Nagar, Opp. SRP Camp, New 150 Ft Ring Road, Rajkot, and our corporate office is at B519, RK Iconic, 5th Floor, Nr. Ayodhya Chowk, Rajkot. Collectively, the Website and Application are referred to as the "Platform." The use of the Application is subject to the terms of the app store or play store, as specified by the respective provider.

By accessing, registering, browsing, downloading, or using Our Platform on any device, You agree to be bound by these Terms. If You do not agree, please refrain from using Our Platform and Services.

2. Acceptance of Terms To use Our Services, You must be at least 18 years old if registering as an individual. If You represent an entity, You must be duly authorized to conduct business in India. Our Services are available only to those capable of entering into legally binding contracts under the Indian Contract Act, 1872.

You can accept these Terms by clicking "I AGREE" or by using our Services. If You do not accept these Terms, You must not use Our Platform or Services.

These Terms apply to every user and legal entity, including partnership firms, companies, trusts, and associations of persons. We may update these Terms from time to time at Our sole discretion. The latest version will supersede all previous versions. Your continued use of Our Services after any modifications signifies Your acceptance of the revised Terms.

3. Description of Services SUMPay offers financial solutions through its Platform, including but not limited to:

  1. SUMPay Cards – SUMPay, in partnership with banks and financial institutions, provides corporate credit cards to startups, entrepreneurs, and businesses. These zero-fee, collateral-free credit cards help businesses manage expenses efficiently. Our role is limited to promotional and marketing activities associated with the distribution of corporate credit cards.   2. SUMPay Business Payments – SUMPay simplifies invoice and payable management for businesses by integrating with leading accounting and communication tools like WhatsApp and Tally. Users can manage their financial operations in a centralized manner, including business payments using a credit card. For detailed terms, please refer to www.sumpays.in/business-tnc.pdf.
  3. SUMPay Insights – SUMPay Insights provides businesses with real-time analytics and sales tracking for digital marketing channels. Users can access custom reports, Google Analytics snapshots, and data-driven insights to enhance their business performance.
  4. Ancillary Financial Services – SUMPay may introduce additional services related to financial management and payment solutions, which will be updated from time to time.

We reserve the right to modify, discontinue, or rename any Services at our sole discretion.

4. Registration and Onboarding To access SUMPay Services, You must complete an online registration process by providing the following details:

  • Name
  • Email Address
  • Mobile Number
  • PAN
  • Aadhaar (as permitted by law)
  • Business Documents (if applicable)

You must provide true and accurate information. Failure to do so may result in the cancellation of Your account and restriction of access to Our Services.

Once registered, You will receive login credentials for Your SUMPay account. You are responsible for maintaining the confidentiality of these credentials and ensuring that Your account is not misused. If You suspect unauthorized access to Your account, You must notify Us immediately.

By registering on Our Platform, You consent to receive communications from Us via SMS, email, calls, or in-app notifications. You may opt out of such communications by deregistering Your account.

You authorize SUMPay to verify Your identity and conduct background checks directly or through third-party services, in compliance with applicable laws and regulations.

To deactivate Your account, You may contact Us at info@sumpays.in. Once deactivated, You will no longer have access to Our Services.

Users are prohibited from using SUMPay for fraudulent transactions or any illegal activities.

These Terms are governed by the laws of India. Any disputes arising out of these Terms shall be subject to the exclusive jurisdiction of the courts in Rajkot, Gujarat.

  1. 5.License To The Platform

Subject to Your compliance with each provision of these Terms, SUMPay hereby grants You a limited, revocable, personal, non-sub-licensable, non-transferable, non-exclusive right to access and use the Platform to seek the Services in accordance with these Terms.

You shall under no circumstances share the access of the Platform with anyone else without obtaining Our permission for the same.

Except for the rights and interests explicitly granted to You under these Terms, You shall have no other right or interest whatsoever in the use of the Platform and/or Services.


  1. 6. Third-Party Service Providers

For the seamless and high-quality provision of our Services and other operational needs of SUMPay, We utilize certain payment partners and other third-party service providers. While We carefully select Our third-party service providers and enter into detailed agreements imposing performance obligations (including confidentiality) on them, We cannot and do not guarantee their performance in relation to any commercial transaction under these Terms. Therefore, We shall not be liable for any disputes, losses, and/or damages arising due to any acts or omissions of the payment partners and third-party service providers.

Any commercial/contractual terms agreed upon between You and any third-party service provider shall be solely between You and such third-party service provider. SUMPay does not determine, control, advice, or involve itself in the offering or acceptance of such commercial/contractual terms between You and third-party service providers.


  1. 7. Fee For Use Of Services

For availing Our Services, You may be charged a convenience fee ("Fees"). Such Fees will be communicated to You at the time of making a payment against any commercial transaction undertaken by You on our Platform.

All Fees paid to SUMPay are non-refundable. Fees may be revised periodically at the discretion of SUMPay. You acknowledge and agree that the Fees charged by SUMPay in respect of a settled or completed transaction shall not be refunded or repaid under any circumstances, even if the transaction is rejected, charged back, refunded, or disputed.

In the event any tax such as GST or similar levies are chargeable by SUMPay under statutory laws in connection with Your use of our Services ("Taxes"), SUMPay will charge You for such Taxes. You agree to pay SUMPay such Taxes in addition to the Fees.


  1. 8. Availability Of Services

All or any of the Services offered through the Platform may be temporarily unavailable or may not be offered to You due to various reasons, including but not limited to Your geographic limitations, prohibitions/restrictions under applicable laws or policies, or due to technical faults or interruptions.

  1. 9. Platform Content

Unless otherwise indicated, the Platform is the proprietary property of SUMPay, and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Platform ("Content") and the trademarks, service marks, and logos contained therein ("Marks") are owned or controlled by us or licensed to us and are protected by copyright, trademark laws, unfair competition laws, and other applicable national and international laws and conventions. We reserve all rights not expressly granted to You regarding the Platform, the Content, and the Marks.

SUMPay cannot and does not guarantee or warrant that files available for download through the Platform (if any) will be free from software viruses or other harmful computer codes, files, or programs.

Unauthorized use of the Content or Platform may violate copyright, trademark, and other laws. The Platform and its Content shall not be reverse-engineered, disassembled, decompiled, reproduced, transcribed, stored in a retrieval system, translated into any language or computer language, retransmitted in any form or by any means (electronic, mechanical, photo-reproduction, recording, or otherwise), resold, or redistributed for any commercial purpose whatsoever without Our express prior written permission.

  1. 10. Platform Management

We reserve the right, but not the obligation, to:

(i) Monitor the Platform for violations of these Terms; (ii) Take appropriate legal action against anyone who, in Our sole discretion, violates the law or these Terms, including reporting such users to law enforcement authorities; (iii) In Our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable the access of any Services or any portion thereof; (iv) In Our sole discretion and without limitation, notice, or liability, remove from the Platform or otherwise disable all files and content that are excessive in size or are in any way burdensome to Our systems; (v) Manage the Platform in a manner designed to protect Our rights and property and to facilitate the proper functioning of the Platform.


  1. 11. Third-Party Applications

SUMPay’s Platform may integrate with various third-party applications ("Third-Party Applications"). Access and use of the Third-Party Applications may require acceptance of their respective terms of service and privacy policies ("Third-Party Terms"). You are responsible for reading and understanding the Third-Party Terms before accessing or using any Third-Party Application.

You acknowledge and agree that SUMPay is not liable for any Third-Party Applications. While We may try to provide You with advance notice, whenever reasonably possible, You acknowledge and agree that We may, at any time and in Our sole discretion, and without any notice to You, suspend, restrict, or disable access to, or remove from the Platform, any Third-Party Application, without any liability to You, including but not limited to loss of profits, revenue, data, goodwill, or other intangible losses.


12. User Representations

1. By using the Platform, You represent and warrant that: (1) You have the legal capacity and You agree to comply with these Terms; (2) You are not a minor in the jurisdiction in which You reside; (3) You will not access the Platform through automated or non-human means, whether through a bot, script, or otherwise; (4) You will not use the Platform for any illegal or unauthorized purpose; (5) You will only undertake genuine commercial transactions via the Platform and (6) Your use of the Platform will not violate any applicable law or regulation.

2. If You provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate Your Account and refuse any and all current or future use of the Platform (or any portion thereof). In the event of any change in Your email address, mobile number, address, ownership or legal status or cessation of business. You shall be responsible to inform Us in writing forthwith on such change.


13. No Lending

1. SUMPay owns and operates the Platform engaged in the business of facilitating technology-based innovative solutions for easy access to financial services to entities in India in partnership with financial institutions, non-banking financial companies, etc. SUMPay has contractual relationships with non-banking financial companies, banks and other approved lending institutions (“Lender(s)”) pursuant to which such Lenders offer credit facilities to You. Any credit facility made available to You by any Lender shall be governed by terms and conditions agreed between You and the Lender.

2. SUMPay and its directors, officers, employees and agents shall not be responsible in any manner whatsoever for: (1) the rejection of your credit facility application or other refusal by the Lenders of the credit facility with or without reason; (2) SUMPay is not obliged to inform reasons for such refusal/rejection.


14. Undertakings

1. You agree and confirm that: (1) the Account shall be used by You only for valid and genuine business transactions and not otherwise or for any prohibited activity; (2) You shall not carry out any activity, which is banned, illegal or immoral or use the Services in any manner or in furtherance of any activity, which constitutes a violation of any law or regulation or which may cause SUMPay to be subject to investigation, prosecution or legal action; (3) You undertake and assure SUMPay that payments have been made/ will be made under valid business contracts with the customers or vendors and the payments are in respect of genuine business transactions.

2. You agree and confirm to not sell, provide, exchange, or otherwise disclose to third parties or use themselves (other than for the purpose of completing a transaction, or as specifically required by applicable law) any personal information about any third party, including the account details and mobile number, without obtaining the prior written consent of such third party.

3. You shall use the information regarding a payee/ payer (including name, address, e-mail address, telephone numbers and other data) conveyed to You whilst using the Services, only for the purpose of completing the transaction for which it was furnished, and not to sell or otherwise furnish such information to others unless he has an independent source of such information or obtains the express written consent of such payee/ payer.

4. You agree and confirm to inform SUMPay of any change in Your email address, mobile number, address, ownership or legal status or cessation of Your business in writing forthwith on such change.

5. You shall not interfere with or damage the Platform, including, without limitation, through the use of viruses, cancel bots, Trojan horses, harmful code, flood pings, denial-of-service attacks, backdoors, packet or IP spoofing, forged routing or electronic mail address information or similar methods or technology.

6. As a condition of use of the Services, You will not use the Services for any purpose that is unlawful or prohibited by the Terms, conditions, or violate the Terms. SUMPay reserves the right to suspend the Account or restrict use of Services or any such other action as SUMPay may deem fit including but not limited to such legal recourses as may be available, without providing any prior notice to You.

7. You shall not impersonate any person or entity, falsely claim or otherwise misrepresent Your affiliation with any person or entity, or access the accounts of others without permission, forge another person’s digital signature, misrepresent the source, identity, or content of information transmitted, perform any other similar fraudulent acts.

8. You confirm to not infringe SUMPay’s or any third party’s intellectual property rights, rights of publicity or privacy.

9. You agree and confirm to not use the Services or the Platform in any manner that could damage, disable, overburden, or impair it, including, without limitation, using the Services or the Platform in an automated manner or otherwise.

10. You shall not use Services or Platform for any self-financing activities which includes but not limited to transfer of funds to the payee against any fake or fraudulent transactions, transfer of funds to Your subsidiary, holding, associate company or any related party, unless such transfer of funds is towards a genuine transaction between You and the other Party.

11. SUMPay has the right to temporarily terminate Your access to the Platform. You shall be given a reasonable opportunity of being heard and provide evidences/ proof ensuring the validity of the transaction, any failure to prove the validity of the transaction will lead to a permanent embargo on You to access the Platform.

12. You agree to bear and be solely and exclusively responsible for the payment of all relevant & applicable taxes (including any applicable withholding taxes) as may be due from time to time.


15. SPECIFIC TERMS

1. SUMPay shall in no manner be responsible for any disputes between You and any person You make payment to using this Platform, including issues regarding prices, delivery, non-delivery, deficiency of services or delay in delivery of the products, quality of products or services or any liabilities arising from the transactions conducted through the payment links where the end user is not a registered user of SUMPay (‘Non-SUMPay User’). By agreeing to use the payment links provided by SUMPay, You acknowledge and agree that SUMPay is not responsible for any aspect of the transaction, including but not limited to delivery, quality of products or Services, or any fraudulent activities related to such transaction.

2. SUMPay cannot and does not guarantee the timings of any payments made as such timing is dependent upon You or Your bank, card issuing bank/ card processor (where a credit/ debit card is used), acquiring financial institution, and other service providers.

3. You shall be responsible for any miscommunication or incorrect user/ third party/ other information that may be provided to SUMPay at the time of enabling the Services for You.

4. SUMPay hereby reserves the right to impose limitations on the number of commercial transactions that may be charged on an individual Account in a given time period and reserves the right to refuse to make payments in respect of commercial transactions exceeding such limit.

5. You agree and confirm to not hold SUMPay liable in case of any improper/fraudulent/unauthorized/duplicate/erroneous use of Your mobile, e-mail account and/or the web-based access or through any other platform. SUMPay will also not be liable to You for any direct or indirect consequences connected with the use/ misuse of Your web/ mobile/ email account by any third party.


16. Prohibited Activities

  1. You may not access or use the Platform for any purpose other than the one for which it has been made available by SUMPay under Parasana Fintrade Private Limited.
  2. In the event that SUMPay is informed by your bank or a card payment network about any unauthorized debit or transaction ("Fraudulent Transaction"), SUMPay reserves the right to conduct an independent inquiry, investigation, and resolution process. All chargebacks and/or refunds resulting from such inquiries will be handled as per Clause 16 and 17 of these terms.
    1. Upon receiving a chargeback request, SUMPay will assess its legitimacy. If the claim is found valid and the funds have not been settled with the end beneficiary, SUMPay will initiate a refund, either in full or in part, based on its discretion. Refund requests must be submitted within the specified time frame, and SUMPay will make a best-effort determination.
    2. SUMPay holds the right to suspend an account, limit service access, or take any necessary legal action without prior notice if suspicious transactions are detected. In such cases, SUMPay may withhold the transaction amount and request further clarification from the user. If responses are unsatisfactory, SUMPay may refund the transaction amount to the source card after deducting gateway charges.
  3. As a user of the Platform, you agree not to:
    • Systematically extract data or content from the Platform to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from SUMPay.
    • Deceive, defraud, or mislead SUMPay and other users, especially in an attempt to access sensitive account information such as user credentials.
    • Bypass, disable, or interfere with security-related features of the Platform, including those preventing unauthorized use or copying of content.
    • Use Platform data to harass, abuse, or harm another person.
    • Exploit SUMPay’s support services or submit false reports of misconduct.
    • Use the Platform in violation of any applicable laws or regulations.
    • Upload or transmit harmful software, excessive capital letters, spam, or any content that disrupts Platform operation.
    • Impersonate another user or use someone else’s username.
    • Sell or transfer your profile.
    • Upload or transmit spyware, passive collection mechanisms, or similar technologies.
    • Interfere with or burden the Platform or its associated networks.
    • Harass or intimidate SUMPay employees or agents providing support.
    • Attempt to circumvent any access restrictions set by the Platform.
    • Copy, adapt, or modify Platform software, including but not limited to PHP, HTML, JavaScript, or any related code.
    • Reverse engineer, decompile, or disassemble Platform software.
    • Use bots, scripts, scrapers, or unauthorized software to access the Platform.
    • Use the Platform for competitive purposes or revenue-generating ventures without authorization.
  2. SUMPay reserves the right to limit the number of commercial transactions charged to an individual account within a specific timeframe and may refuse payments exceeding this limit.
  3. You agree not to hold SUMPay responsible for improper, fraudulent, unauthorized, duplicate, or erroneous use of your mobile, email, or web access. SUMPay will not be liable for any consequences arising from misuse by a third party.

17. Privacy Policy

  1. We prioritize data privacy and security. By using the Platform, you agree to SUMPay’s Privacy Policy, accessible at https://www.sumpay.in/privacy/. The Platform is hosted in India, and by accessing it from other regions, you consent to data processing in accordance with Indian laws.
  2. SUMPay reserves the right to access users’ credit reports for assessing creditworthiness and managing transactions. By using the Platform, you consent to SUMPay’s access to your credit report as necessary.

18. Disclaimer And Limitation Of Liability

  1. YOU ACKNOWLEDGE AND AGREE THAT USE OF THE SERVICES IS AT YOUR OWN RISK. SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." SUMPAY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. SUMPAY DOES NOT GUARANTEE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE SERVICE. DOWNLOADING MATERIALS FROM THE PLATFORM IS DONE AT YOUR OWN DISCRETION AND RISK. NO INFORMATION FROM SUMPAY, ITS EMPLOYEES, OR REPRESENTATIVES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.
  2. IN NO EVENT SHALL SUMPAY BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, OR OTHER DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE PLATFORM, INCLUDING LOSS OF BUSINESS PROFITS, INTERRUPTION, COMPUTER FAILURE, OR LOSS OF INFORMATION, EVEN IF SUMPAY HAS BEEN ADVISED OF SUCH POSSIBILITIES.

19. Indemnity

  1. You agree to indemnify and hold harmless SUMPay, its directors, officers, employees, suppliers, and affiliates from any liabilities, losses, damages, fines, and expenses (including legal fees) arising from:
    • (i) Any claims stating that your use of the Services has violated another party’s rights, breached any law, or contravened any provision of these Terms unless expressly authorized by SUMPay.
    • (ii) Breach, non-compliance, or inadequate fulfillment of obligations, conditions, representations, or warranties made by you.
    • (iii) Any acts, errors, misrepresentations, willful misconduct, or negligence by you, your employees, subcontractors, or agents while using the Services.
    • (iv) Any intellectual property or privacy rights violations of third parties.
    • (v) Any claims or legal actions initiated by third parties.
  2. If third parties gain access to the Services using your credentials, you will be held responsible and must indemnify SUMPay against any resulting liabilities, costs, or damages.
  3. SUMPay shall not be liable for any direct or indirect loss or damage arising from:
    • (i) Refusal by any party (including service providers) to honor a transaction.
    • (ii) Malfunction of any terminal or equipment.
    • (iii) Unauthorized use of the Services by any individual other than you.
    • (iv) Any unsuccessful transactions, regardless of prior notice to SUMPay.
    • (v) Any errors, omissions, or misstatements in details provided to SUMPay.

20. Force Majeure
SUMPay shall not be held responsible for any failure to fulfill obligations due to events beyond its reasonable control. If such an event occurs, the affected Services shall be suspended until the situation is resolved.


21. Termination

  1. Any violation of these Terms or inappropriate conduct towards third-party service providers will lead to disciplinary actions, including termination of access, suspension of payments, account deactivation, and legal consequences. SUMPay reserves the right to restrict or terminate your ability to receive credits, payments, or refunds. You may voluntarily cancel your account by emailing SUMPay.
  2. SUMPay may access, preserve, or disclose user data if required by law or deemed necessary to:
    • (i) Respond to legal claims.
    • (ii) Prevent fraud, assess risks, conduct investigations, or improve customer support.
    • (iii) Safeguard SUMPay, its users, or the public.

22. Confidentiality

  1. You must not disclose or misuse non-public information gained through the Services. This obligation continues until such information becomes publicly available through no action of your own. If legally compelled to disclose such information, you must notify SUMPay promptly and cooperate in protecting it.
  2. Upon termination, you shall settle any outstanding dues to SUMPay. SUMPay is not liable for any consequences resulting from account suspension or termination.

23. Miscellaneous

  1. SUMPay reserves the right to modify these Terms at any time without prior notice. Continued use of the Services signifies your acceptance of the revised Terms. If the modifications substantially affect your rights, you may terminate your account.
  2. No partnership, joint venture, employment, or agency relationship is created between you and SUMPay through the use of these Services.
  3. SUMPay’s compliance with these Terms is subject to applicable laws. Nothing in these Terms restricts SUMPay’s ability to comply with law enforcement requests.
  4. You may not assign your rights or obligations under these Terms without SUMPay’s prior written consent. SUMPay may subcontract certain services as necessary.
  5. These Terms are governed by Indian law, with exclusive jurisdiction in the courts of Ahmedabad.
  6. Disputes shall be resolved through arbitration per the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Ahmedabad and proceedings conducted in English.
  7. Any breach of these Terms may cause irreparable harm to SUMPay, entitling it to injunctive or equitable relief.
  8. If any provision of these Terms is found invalid, the remaining provisions shall continue in full force. SUMPay’s failure to enforce any provision shall not constitute a waiver of rights.
  9. Payments shall be made exclusively in Indian Rupees.
  10. SUMPay may modify fees and charges at its discretion.
  11. SUMPay is not liable for unauthorized access to user data or unauthorized transmissions through its Services.
  12. SUMPay retains the right to suspend or terminate your account or any part of its Services at its sole discretion.
  13. You shall not represent yourself as an agent or spokesperson for SUMPay. You must not make any warranties or claims that bind SUMPay to obligations not specified in these Terms.
